BOARD OF DIRECTORS RESPONSIBILITIES

Board of Directors Responsibilities 2025 / 2026

It is an honor to be elected to and serve on the board of directors of the Colorado Trial Lawyers
Association.

CTLA’s mission is to protect the civil justice system, preserve the right to trial by jury, and support trial
lawyers through advocacy, education, and community. Members of the board of directors have a
responsibility to help advance that mission by leading by example, contributing their time and experience,
and providing the personal and financial support needed to keep CTLA strong and effective.
To encourage and guide both existing and new board members, the board has adopted the following
minimum standards:

• Attend at least three board meetings per year.
• Assist in the governance of the association by arriving at board meetings on time, prepared and
ready to participate fully.
• Perform fiduciary duties by gaining an understanding of the association’s budget process,
reviewing and approving the annual budget, and reviewing and approving monthly financial
statements.
• Keep a current credit card on file with CTLA for board-related expenses and membership
dues, which will be automatically charged when payments are owed.
• Make a personal monetary contribution to the association’s legislative and electoral efforts
through Eagle and 7th Amendment Advocates, at a level that is meaningful to them and without
being asked by the requisite date – Eagle contributions must be made by December 31 of each
year, and 7th Amendment Advocates commitments must be made by March 31 of evennumbered years.
• Actively participate in efforts to engage members in contributing to Eagle and 7th Amendment
Advocates.
• Actively participate in efforts to recruit and retain members, including encouraging new members
to join and helping to keep members engaged and involved.
• Participate in association legal education and networking events by attending Blockbuster, Spring
Dinner, or Convention each year.
• Serve as an ambassador for the association within the broader legal community, both inside and
outside the organization.
• Bring any concerns regarding association policies or actions directly to the president or executive
director before speaking publicly or posting on any association listserve.
• Maintain active membership in the American Association for Justice (AAJ) and give to the AAJ
PAC at an amount that is meaningful to them within three months of becoming a board member.
• Encourage, support, and collaborate respectfully with fellow board members, CTLA members,
and CTLA staff.
• Speak with a unified voice to the membership and support decisions made by the board.

If a board member is unable to meet their board duties due to financial reasons or a personal or
professional conflict, they should let the president or executive director know as soon as possible.
Financial assistance may be available, and exceptions can be considered on a case-by-case basis.
